San Diego Chinese Association invites you to an exciting program titled “SDCA

Entrepreneur Development Program”. The highlights are summarized below. For

Purpose

1. to provide SDCA members and friends with the essential knowledge necessary

to form and operate businesses in biotechnology, pharmaceutical industry, and

other high-tech industries.

2. to promote and encourage the technology entrepreneurial interest and talents

in local Chinese community.

3. to create strong business networking opportunity.

Program Outline

A series of four (4) sessions, each focusing on critical legal, financial and

operational issues confronting a company during the different stages of a

company's life cycle (from the business plan stage through to the exit strategy

stage).

Session I From Concept to Formation: Developing A Business Concept And Plan And

Forming A Company To Achieve The Plan

Session II Beyond Formation: First Round Financing and Operating the Start-Up

Session III The Teen Years: Subsequent Financings, Generating Revenue and

Incurring Liabilities Beyond the Start-Up Stage

Session IV Cashing In: Preparing the Company for the Proper Exit Strategy

10:00-10:50 Determining the market need and defining the product

11:00-12:00 Preparing the business plan

12:00-1:00 Lunch

1:00-2:30 Choosing the right type of entity and forming the entity

2:45-3:30 Obtaining seed financing

3:40-4:00 How and when to select service providers such as lawyers and

accountants
